Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, products and services provided by GivMoo, LLC (“GivMoo”, “we”, “our” or “us”). By accessing or using our websites or services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our websites or services.

Eligibility

You may use our websites and services only if you are capable of forming a binding contract with GivMoo and are not barred from doing so under any applicable law. By using our services, you represent and warrant that you meet these eligibility requirements.

Accounts and Registration

To access certain features of our services, you may be required to create an account. You agree to provide accurate, current and complete information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you suspect any unauthorized use of your account.

You may need your own GivMoo account to use one or more services when shopping the site and you may be required to be logged in to the account and have a valid payment method associated with it. If there is a problem charging your selected payment method, we may charge any other valid payment method associated with your account. Visit your account to manage your payment options. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password. GivMoo does sell products for children, but it sells them to adults, who can purchase with a credit card or other permitted payment method. If you are under 18, you may shop the site only with involvement of a parent or guardian. Parents and guardians are not allowed to create accounts for those under 18 years of age. GivMoo reserves the right to refuse service, terminate accounts, terminate your rights to use all or part of the platform or remove or edit content, or cancel orders in its sole discretion.

Acceptable Use

You agree not to use our websites or services for any unlawful or prohibited purpose and not to violate any applicable laws or regulations. You further agree not to post or transmit content that is unlawful, defamatory, obscene, abusive or otherwise objectionable; not to infringe the rights of others; not to attempt to gain unauthorized access to our systems; and not to use automated means to access the services without our permission. We reserve the right to suspend or terminate your access to the services if we believe that you have violated these Terms.

Intellectual Property

All content, features and functionality on our websites and services, including text, graphics, logos, icons, images and software, are owned by or licensed to GivMoo and are protected by intellectual property laws. You may use this content for your personal, non-commercial use only unless we provide you with express written permission for another use. Nothing in these Terms grants you any rights in or to our intellectual property except for the limited license described here.

Third Party Links

Our websites and services may contain links to third party websites or resources that are not owned or controlled by GivMoo. We are not responsible for the content, products or services on or available from those websites or resources. You acknowledge that you are solely responsible for and assume all risk arising from your use of any third party websites or resources.

Privacy

Your use of our websites and services is also subject to our Privacy Policy and Cookie Policy, which explain how we collect, use and protect your personal data. By using our services, you acknowledge that you have read and understood those policies.

Disclaimers

Our websites and services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the services will be uninterrupted, secure or free from errors or that any defects will be corrected.

Limitation of Liability

To the fullest extent permitted by law, GivMoo and its officers, employees, agents and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses, resulting from your access to or use of or inability to access or use the services, any conduct or content of any third party on the services or unauthorized access, use or alteration of your transmissions or content. In no event shall our total liability for all claims relating to the services exceed the amount you have paid to us, if any, for access to or use of the services during the twelve months immediately preceding the claim.

Indemnification

You agree to indemnify, defend and hold harmless GivMoo and its officers, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your access to or use of the services, your violation of these Terms or your infringement of any third party rights.

Termination

We may suspend or terminate your access to and use of the services at any time, with or without cause or notice, including if we believe that you have violated these Terms. Upon termination, your right to use the services will immediately cease. Sections of these Terms that by their nature should survive termination shall remain in effect.

Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will post the updated Terms on our website and, where required by law, notify you by email or other appropriate means. Your continued use of the services after the effective date of the revised Terms constitutes your acceptance of the changes.

Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or the services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law rules. You agree that the courts located in the State of Maryland shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services.

Harvest of Savings Price Beat Offer Terms and Conditions

Offer period: The Harvest of Savings Price Beat Offer is valid only for completed quote requests submitted no later than 11:59 PM Eastern Time on Saturday, October 31, 2026. Requests submitted after that time are not eligible for the offer.

The GivMoo Wholesale Harvest of Savings Price Beat Offer applies to qualifying bulk and wholesale product purchases only. To qualify using a competitor’s current price, the customer must provide a publicly published price for the exact product requested, along with sufficient product information for GivMoo Wholesale to verify the item, specifications, quantity and pricing. To qualify using a previous bulk purchase, the customer must provide a valid invoice that clearly identifies the product purchased, relevant product details, quantity and price paid per unit. To qualify using a competitor’s written quote, the customer must provide a written quote issued by an established supplier, dated within 30 days before the request is submitted and not expired, that identifies the supplier’s business name and contact information, the exact product (brand, style number and color), quantity, decoration method and locations, and the quoted price. For a written quote, the per-unit price is the total quoted product and decoration cost, including setup, screen and artwork charges, divided by the quantity. GivMoo Wholesale may contact the issuing supplier to confirm the quote. Quotes that cannot be verified do not qualify. The offer applies only to regular wholesale pricing and does not apply to products offered on sale, at a discount, on clearance or closeout, or as part of a coupon, limited-time promotion, special promotional offer, bundled offer, membership price or other reduced-price program. GivMoo Wholesale will compare and beat the qualifying per-unit product price only. Except as provided above for written quotes, setup charges, customization fees, artwork fees, screen or plate charges, shipping, freight, taxes, handling, rush charges and any other related fees or expenses are excluded from the price comparison and are not considered when determining eligibility. Product specifications, quantities, decoration requirements, availability and sourcing must be comparable. Submitted pricing is subject to verification, and GivMoo Wholesale reserves the right to determine whether a submitted product and price meet the requirements of the offer and to decline requests involving unverifiable pricing, pricing errors, unavailable products, materially different product specifications or offers that do not meet these requirements. If a submitted request qualifies under these terms and GivMoo Wholesale is unable to beat the verified qualifying per-unit product price, GivMoo will issue the requesting party a $100 GivMoo Marketplace Gift Card. The $100 is not payable in cash and will be issued only as a GivMoo Marketplace Gift Card for use on eligible purchases through the GivMoo marketplace. The gift card is subject to GivMoo’s standard gift card terms, conditions, use and redemption requirements. Recipients should refer to the Gift Card Terms and Conditions section of the GivMoo website for complete rules regarding use, redemption, restrictions and any other terms applicable to GivMoo Marketplace Gift Cards. Additional minimum order quantities, product-specific requirements and sourcing limitations may apply.
